Quotation and invoices Terms and Conditions

1. Acceptance: By accepting the quotation, the client agrees to the terms and conditions stated herein

2. Scope of Work: The quotation specifies the goods, products, or services being provided by the supplier. Any additional requirements or changes to the scope of work should be communicated and agreed upon in writing.

3. Validity: This quotation is valid for a specified period, usually stated within the quotation. Prices and availability of goods and services may be subject to change after this period.

4. Pricing: The prices quoted are valid for the specified period mentioned in the quotation and are subject to change without notice. Unless otherwise stated, all prices are exclusive of taxes, duties, and shipping costs.

5. Payment Terms: Payment terms and methods are outlined in the quotation. Typically, a down payment may be required before work begins, followed by progress payments or a final payment upon completion. Failure to make timely payments may result in additional charges or suspension of the project/request.

6. Delivery and Completion: The quotation will include an estimated delivery time or completion date. However, this is subject to factors beyond the supplier’s control. Any delays will be communicated to the client, and reasonable efforts will be made to minimize these delays.

7. Intellectual Property: Any intellectual property rights associated with the quotation, including designs, documents, or materials, remain the property of the supplier unless otherwise stated. Unauthorized use or reproduction is prohibited without prior written consent.

8. Revisions and Changes: Any changes or revisions to the quotation should be requested in writing and may affect the pricing and delivery timeframe. The supplier reserves the right to modify the quotation accordingly.
9. Terms of Agreement: The terms specified in the quotation override any conflicting terms or conditions from the client unless explicitly agreed upon in writing by both parties.

10. Warranty and Support: The supplier may provide warranties for the goods or services as specified in the quotation. Any claims must be made within the warranty period. The supplier’s liability is limited to the value of the goods or services provided and does not extend to consequential damages or losses.

11. Termination: Either party reserves the right to terminate the project/request before payment made by providing written notice to the other party. In case of termination, the client may be liable for any costs incurred up to that point.

12. Confidentiality: Both parties agree to maintain the confidentiality of all information and materials shared during the project/request will be treated as confidential and will not be disclosed to any third party.

13. Governing Law & Dispute Resolution: These terms and conditions shall be governed by and construed in accordance with the laws of [Commercial judiciary in Dammam]. Any disputes or disagreements arising from the quotation will be resolved through negotiation or mediation in good faith. In the event that resolution cannot be reached, both parties agree to submit to the jurisdiction of the courts in the agreed-upon jurisdiction in Dammam Saudi Arabia.
